Terms of Service

These Terms of Service govern your access to and use of the ilna AI platform, websites, mobile applications, APIs, and related services. By creating an account, signing an order form, or otherwise using the Services, you agree to be bound by these Terms, including the Data Processing Agreement in Section 13.

1. Who We Are

The Services are provided by ilna AI Software Technology - FZCO (or successor ilna AI entity), a company organized under the laws of the United Arab Emirates with its principal office in IFZA Free Zone ("ilna AI," "we," "our," "us"). We operate globally and serve customers worldwide.

2. Eligibility and Accounts

You must be at least 18 years old and have authority to bind your organization to these Terms. You are responsible for all activity under your account and must keep credentials secure. We may suspend or terminate accounts that violate these Terms or applicable law.

3. Use of the Services

You may use the Services only for lawful business purposes.

You must comply with all applicable laws (including data-protection, telecommunication, and export-control laws).

You shall not: reverse-engineer or attempt to access underlying source code; use the Services to transmit spam, illegal content, or harmful code; resell or provide the Services to third parties except as permitted by written agreement.

3.1 Fair Use and Excessive Consumption

Certain plans may include "unlimited" messaging. Unlimited messaging is provided subject to a Fair Use Policy designed to protect service quality and financial sustainability.

ilna AI may monitor usage patterns to identify abnormal, excessive, or abusive consumption. Indicators include, without limitation:

  • unusually high volumes of incoming or outgoing messages

  • automated or non-human traffic

  • bulk or mass messaging

  • activity inconsistent with normal usage of a business of similar size and type

  • use of the Services to operate a messaging platform for third parties

Where ilna AI determines, in its reasonable discretion, that usage is excessive or adversely affects platform performance or financial viability, ilna AI may, without liability:

  • throttle or restrict messaging volume;

  • suspend access to messaging features or the Services;

  • require an upgrade to a higher plan; and/or

  • charge additional fees or pass-through carrier or messaging costs.

ilna AI will use reasonable efforts to notify the customer prior to or promptly after taking action under this section.

Use of the Services constitutes acceptance of this Fair Use Policy.

4. Subscriptions, Fees and Payments

Access is provided on a subscription basis according to your selected plan or executed order form. All fees are due in the currency and frequency specified. Unless otherwise stated, fees exclude taxes. Late payments may result in suspension. Subscription renews automatically unless cancelled as per your plan settings.

4.1 Additional Charges

Where excessive or abnormal usage results in incremental third-party charges (including telephony or carrier charges), ilna AI may pass through such charges to the customer at cost or at ilna AI's standard usage-based rates.

5. Intellectual Property

All intellectual-property rights in the Services, software, AI models, designs, and documentation remain with ilna AI or its licensors. You retain ownership of your data and of any materials you upload. By submitting content, you grant ilna AI a worldwide, non-exclusive licence to host, process, and display such content solely to provide the Services.

6. Customer Data and Privacy

Your privacy is governed by our Privacy Policy (https://ilna.ai/legal/privacy). You acknowledge that by using the Services you have read and accepted that policy. When we process personal data on your behalf, the Data Processing Agreement in Section 13 applies.

7. Data Security

ilna AI implements and maintains appropriate technical and organizational measures to protect data against unauthorized access, loss, or alteration, including encryption, access controls, and secure hosting.

8. Third-Party Services

Our Services may integrate with third-party platforms (e.g., Twilio, WhatsApp Business API, OpenAI, cloud providers). Your use of such integrations is subject to those third-party terms and privacy policies. ilna AI is not responsible for third-party acts or omissions.

9. International Data Transfers

Because we operate globally, personal data may be transferred to and processed in countries other than your own, including the UAE, EU, UK, United States, and Canada. We use legally recognized transfer mechanisms such as Standard Contractual Clauses or adequacy decisions to protect personal data during cross-border transfers.

10. Disclaimers

The Services are provided "as is" and "as available." Except to the extent prohibited by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the maximum extent permitted by law, ilna AI's total liability arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to ilna AI in the twelve-month period preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill.

12. Termination

Either party may terminate for convenience by providing written notice or by cancelling the subscription through the dashboard. Upon termination:

  • Access to the Services ends;

  • ilna AI will delete or return your personal data per Section 13.8; and

  • Outstanding fees remain due.

ilna AI may restrict, suspend, or terminate access immediately where usage materially breaches these Terms, including Fair Use and Excessive Consumption.

Certain clauses (intellectual-property, limitation of liability, governing law, etc.) survive termination.

13. Data Processing Agreement (DPA)

13.1 Roles. Customer acts as Data Controller; ilna AI acts as Data Processor.

13.2 Processing Purpose. ilna AI processes personal data only to provide, maintain, and improve the Services or as otherwise instructed in writing by Customer.

13.3 Sub-Processors. Customer authorizes ilna AI to use sub-processors such as cloud-hosting and communication vendors (e.g., Twilio, AWS, Google Cloud, OpenAI). ilna AI will ensure each sub-processor is bound by equivalent data-protection obligations.

13.4 Security Measures. ilna AI maintains appropriate technical and organizational measures, including encryption in transit and at rest, access controls, employee confidentiality, and regular vulnerability testing.

13.5 International Transfers. Where personal data is transferred outside the EEA/UK/Canada, ilna AI will rely on Standard Contractual Clauses, the UK Addendum, or other lawful transfer mechanisms.

13.6 Data Subject Requests. ilna AI shall assist Customer in fulfilling obligations to respond to data-subject requests (access, rectification, deletion, portability) within reasonable timeframes.

13.7 Breach Notification. ilna AI will notify Customer without undue delay upon becoming aware of a personal-data breach and will provide relevant information to facilitate regulatory notifications.

13.8 Return or Deletion. Upon termination or at Customer's request, ilna AI will delete or return all personal data unless retention is required by law.

13.9 Audits. Upon reasonable notice, Customer may audit ilna AI's compliance through documentation or third-party certifications. On-site audits are limited to once per year and subject to confidentiality and cost-recovery terms.

13.10 Legal Bases and Compliance. ilna AI will process personal data in accordance with GDPR, UK GDPR, CCPA/CPRA, and PIPEDA requirements and act only on Customer's documented

instructions.

13.11 Liability and Governing Law. Each party's liability under this DPA is limited as set forth in

Section 11 and governed by the law specified in Section 18.

14. Compliance with Regional Privacy Laws

EEA/UK (GDPR): Customers and end-users have rights of access, correction, deletion, restriction, and portability. Contact privacy@ilna.ai.

United States (CCPA/CPRA & State Laws): ilna AI acts as a service provider and does not sell or share personal data for advertising. Residents may opt-out via "Do Not Sell or Share My Personal Information."

Canada (PIPEDA & Provincial Acts): ilna AI processes data with meaningful consent and discloses cross-border transfer details on request.

15. Confidentiality

Each party shall protect the other's confidential information and use it only for the purpose of fulfilling these Terms. Confidentiality obligations survive termination for 3 years.

16. Indemnification

You agree to indemnify and hold ilna AI harmless from any claim arising from your misuse of the Services, violation of law, or infringement of third-party rights.

17. Changes to These Terms

ilna AI may modify these Terms to reflect changes in law or the Services. Updated Terms become effective upon posting. We will notify active customers of material changes via email or in-app notice. Continued use constitutes acceptance.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates (IFZA Free Zone), excluding conflict-of-laws rules. Any dispute shall be submitted to the exclusive jurisdiction of the courts of the UAE (Dubai). Where mandatory local law grants consumers additional rights, those remain unaffected.

19. Notices and Contact

All notices may be sent to legal@ilna.ai.

20. Entire Agreement

These Terms (including the DPA and Privacy Policy) constitute the entire agreement between you and ilna AI regarding the Services and supersede all prior agreements. No waiver or amendment is binding unless in writing.

Acceptance

By creating an account or clicking "I Agree," you confirm that you have read, understood, and accepted these Terms and the incorporated Data Processing Agreement.
